Transactional Liability Claims Counsel

Not Disclosed

Job Description & Details

This is a heavy-hitting legal role where you will be stepping in to manage a portfolio of complex Transactional Liability claims, specifically dealing with Representations and Warranties (R&W) and Tax Liability. If you like dissecting M&A deals, reading purchase agreements, and arguing liability without getting bogged down in corporate red tape, this gig is worth a serious look. It bridges corporate law, insurance coverage, and high-stakes negotiation.

What You'll Actually Be Doing

Expect your day-to-day to revolve around deep-dive investigations into alleged breaches of reps and warranties from closed mergers and acquisitions. You'll spend hours reading through complex purchase agreements, financial statements, and diligence materials to figure out what went wrong and whether the insurance policy actually covers it. You won't just be advising; you'll be setting and adjusting loss reserves, drafting hard-hitting coverage position letters, and partnering directly with forensic accountants and outside counsel to drive resolutions and settlements across the finish line.

The Core Tech Stack

While there is no coding involved here, your stack consists of heavy legal and financial literacy. You absolutely must have a Juris Doctor (J.D.) degree and a solid grip on M&A transaction structures, corporate law principles, and R&W insurance products. Being able to look at a messy financial record, calculate a nuanced damages loss, and translate that into a defensible reserve figure is non-negotiable for this role.

Interview Expectations

When you sit down with the hiring team, expect them to test your legal analytical skills with a hypothetical breach of a representation in a stock purchase agreement. They are going to look closely at how you identify policy exclusions, handle valuation issues, and set initial loss reserves under pressure. Another likely angle is a behavioral question on how you manage pushback from insureds or private equity sponsors during a contentious settlement negotiation.

Application Advice

When tailoring your resume for this position, ditch the generic bullet points and make sure your experience in M&A, private equity, or insurance claims is front and center. You need to explicitly weave in keywords from the job description like "Representations & Warranties," "coverage analysis," "damages calculations," and "reserve setting" to get past the automated ATS and catch the eye of the hiring manager.
